The 10-K deadline for non-accelerated filers was on Monday, March 31st, and the deadline for filing an NT 10-K was Tuesday, April 1st. The number of NT 10-Ks (non-timely) has risen in recent years, but 2025 saw a meaningful reversal. This year, 493 companies have filed an NT 10-K, representing 11% of all 10-K filers this year with a December 31, 2024 year-end.
* The number of NT 10-K for 2020 was particularly low due to a pandemic-related filing extension.

Companies file NT forms when they cannot meet the mandated deadline for annual or quarterly reports. Large accelerated filers with a December 31 year-end must file their 10-K within 60 days (March 3 this year). To obtain an extension, they must submit an NT 10-K by the following day. Non-accelerated filers have 90 days to file, making their deadline March 31, 2025.
Non-timely filings often signal internal distress and precede stock price declines. NT filings are rare and mostly filed by smaller companies. In 2025:
- Micro cap: 19.1% of 2,394 companies have filed an NT 10-K form.
- Small cap: 2.6% of 954 companies
- Mid cap: 1.2% of 660 companies
- Large cap: Only 2 of 477 companies made the list.
Notable NT 10-K filings in 2025
Bancorp Inc. $TBBK | Regional Banks | $2.54B
- March 3: Inappropriately filed its 2024 Form 10-K
- March 4: Notified investors via 8-K that the previously filed annual report was unreliable because auditors had not approved their audit opinions for FY2022–2024.
- March 4: Filed its first-ever NT 10-K, requiring additional closing procedures related to accounting for consumer fintech loans in allowance for credit losses.
- March 10: Plans to record an adjustment to the allowance for loan losses and provision expenses.
Trimble Inc. $TRMB | Scientific & Technical Instruments | $17.57B
- Filed its first NT 10-K due to a delay in its 2024 audit process.
- Previously, three consecutive quarterly reports were late due to ongoing assessments of internal controls and potential material weaknesses.
3D Systems Corporation $DDD | Computer Hardware | $287.34M
- Filed its fourth NT 10-K in five years, or its seventh NT form (NT 10-Ks and NT 10-Qs) since 2021.
- Provided no useful explanation beyond requiring additional time to complete its audit.
- Notably, on September 9, 2024, it eliminated the role of Senior VP and Chief Accounting Officer, held by Margaret E. Wicklund for only 11 months.
Persistent delays among repeat offenders
Despite the overall decline in NT filings, delays remain common among repeat offenders. In 2025, most NT 10-Ks came from companies with prior NT filings, a shift from past years when first-time late filers dominated. This year:
- 22 companies, primarily micro caps, have filed their seventh consecutive NT 10-K (since our tracking began in 2019).
- 26 have filed their sixth NT 10-K in 7 years.
- 37 have filed their fifth NT 10-K in 7 years.

SPACs continue to file NT 10-Ks at the highest rate. In 2025, 56 of 174 SPACs (32%) filed their 10-K late. However, non-timely 10-K filings are down across the board in all sectors, except in Utilities where the number of NT 10-Ks went up from 5 to 6.
